Supplier Management

To ensure consistency in product/service quality, cost control, and delivery time across all suppliers working with the Company, and to jointly promote sustainable practices in environmental protection, occupational health and safety, and labor rights, Daruguo Industrial Co., Ltd. has established the following Supplier Management Policy to fulfill its corporate social responsibility.

Policy Content

1. Supplier Classification
(1) The Company classifies suppliers into the following categories:
 1. Concessionaires – Department store and food/beverage counters.
 2. Vendors – Contractors providing engineering or general services.
(2) Management mechanisms and on-site inspections are designed according to supplier types to ensure that products/services provided to customers are safe and reliable.

2. Supplier Selection
(1) When developing new suppliers, the Company shall conduct a supplier survey, including reviewing documentation and performing on-site visits to assess their past performance and current operations.
(2) Selection criteria shall include quality, cost, delivery performance, and service.
(3) The Company will evaluate any environmental or social records of the supplier to avoid engaging in transactions with parties whose actions contradict our corporate social responsibility (CSR) principles.

3. Contract Execution
(1) The Company has established standard concession/purchase contracts tailored to supplier categories, incorporating the “Operating Procedures and Code of Conduct for Integrity Management” and the “Code of Ethical Conduct”, along with information (including personal data) security and internal control policies. These terms define the principles of interaction between internal personnel and suppliers, and the responsibilities of suppliers in safeguarding and maintaining confidentiality of company-related information.
(2) Contracts must also include the Company’s CSR policy, requiring suppliers to comply with regulations regarding environmental protection, occupational safety and health, and labor rights. In the event of violations that compromise the Company’s reputation or interests, the Company reserves the right to terminate or rescind the contract.

4. Supplier Evaluation
(1) The Company conducts annual and routine evaluations of suppliers. Suppliers are classified and graded to help the Company progressively understand their overall performance.
(2) Evaluations are based on document reviews, contract performance records, and on-site audits, focusing on product/service quality, cooperation level, occupational safety incidents, and sustainability performance.

5. Local Procurement and Green Procurement
(1) Upholding the principles of localized development and supply, the Company actively develops local suppliers to enable timely and regional sourcing. This reduces operational and logistics costs, lowers greenhouse gas emissions from long-distance transportation, and contributes to local employment and economic development.
(2) Under compliance with environmental laws and regulations, suppliers are encouraged to provide environmentally friendly products and services at competitive prices to minimize environmental impact.

6. Implementation and Amendment
This policy shall be implemented upon approval by the Board of Directors. Any revisions shall follow the same procedure.
